Convertible debt
Debt that can or must convert into equity under specified terms. Before conversion it provides a debt claim; after conversion the holder has the applicable equity rights, without guaranteed protection from loss.
Convertible debt in round numbers
Hypothetical: an investor lends US$5m under an instrument with interest and conversion provisions. Whether conversion is optional, conditional or mandatory depends on the agreement, as do the price and timing.
