Newco
A newly formed company established for a transaction or other purpose. It may later own assets, borrow, employ people or conduct operations; having no operations is not a permanent defining feature.
Newco in practice
Hypothetical: a buyer forms a new acquisition company to receive equity funding and acquire a target. The actual receiving entities, financing documents and later activities determine its role; the Newco label alone does not specify a funding amount or purchase price.
