Post-closing claim
A request made after a deal closes for payment or another remedy under the deal agreement.
Post-closing claim in practice
Hypothetical example: after buying a business, the buyer discovers a supplier bill that it says the seller should have disclosed. It sends a claim under the agreement and explains the loss it wants covered.

What to check
An earn-out payment or routine price adjustment can arise without anyone breaking the agreement. A dispute over those payments can become a post-closing claim. Not every claim alleges a broken promise.
