Factual definition
A private placement memorandum is an offering disclosure document for a private securities placement. It can describe a fund or another issuer, including the issuer’s business, offering terms, risks, fees and conflicts.
Also called Private placement memorandum
Disclosures for a private securities offering
Hypothetical: an issuer provides an offering memorandum to prospective investors eligible for the particular placement under applicable rules. The document explains the issuer, securities, use of proceeds, terms, fees, conflicts and risks; providing it does not itself authorize unrestricted solicitation.

Reconcile the summary with the terms that create the obligation
Hypothetical offering review. A fund’s PPM summary advertises a 2% management fee.
The detailed terms say it applies to commitments during the investment period, then to a specified remaining investment-cost base, with certain expenses charged separately. An investor who reads only “2%” cannot yet estimate its total costs.
Trace the fee base, offsets, expense allocation and changes over time into the governing agreement and subscription documents. If the documents conflict, obtain a clear documented resolution before subscribing.
Also compare the manager’s stated strategy with investment restrictions and disclosed conflicts; a risk section is useful only if the reader connects it to the decision.
The SEC’s private-placement bulletin cautions that offering memoranda generally are not reviewed by a regulator and may present an incomplete balance of risks. A polished PPM is evidence of what the issuer discloses, not proof that its claims are true or that a regulator approved the investment.
Verify material claims and unresolved terms.
Read the offering explanation with the governing agreement
- PPM
- Explains the offering, strategy, risks, fees and conflicts to prospective investors; receiving it does not itself make an investment commitment.
- Limited partnership agreement
- Sets the partnership’s governing terms, including authority, economics and investor obligations, for a fund using that structure.
- Subscription agreement
- Records the proposed investment and investor representations, with admission or acceptance governed by the documents.
For a specific fund, check which documents require signatures and how the investor becomes bound. A description in the PPM and an executed commitment are different steps, and the actual documents determine their relationship.
