Right of first refusal
A contractual right to purchase on specified matching terms before a covered sale to a third party. The agreement defines the triggering offer, response deadline, matching procedure, and exceptions.
Right of first refusal in round numbers
Hypothetical: one offer for a stake promises up to US$42 million, partly contingent on future results; another offers US$40 million in cash at closing. A right-of-first-refusal holder must assess the complete terms and the contract’s matching rules. The higher headline amount does not by itself establish a higher economic value or an overpayment.
